Agreement to Terms

By accessing or using Andria Labs' services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

Services

Andria Labs provides AI development, software engineering, and technical consulting services. Specific services, deliverables, timelines, and fees are defined in individual project agreements or statements of work.

Project Engagement

Scope and Deliverables

All projects require a written agreement outlining:

  • Project scope and objectives
  • Deliverables and acceptance criteria
  • Timeline and milestones
  • Fees and payment terms
  • Intellectual property ownership

Changes to Scope

Changes to project scope require written agreement from both parties. Additional work outside the original scope will be billed separately.

Payment Terms

Payment terms are specified in individual project agreements. Generally:

  • Invoices are due within 30 days unless otherwise specified
  • Late payments may incur interest charges
  • Work may be paused for overdue payments
  • All fees are in USD unless otherwise stated

Intellectual Property

Client Ownership

Upon full payment, clients own all custom code and deliverables created specifically for their project, as defined in the project agreement.

Pre-Existing Materials

Andria Labs retains ownership of:

  • Pre-existing code, tools, and frameworks
  • General methodologies and approaches
  • Knowledge and expertise

Open Source

Projects may incorporate open-source software, which remains subject to its respective licenses.

Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes:

  • Business strategies and plans
  • Technical specifications and code
  • Customer data and trade secrets

Confidentiality obligations survive termination of the engagement.

Warranties and Disclaimers

Service Warranty

Andria Labs will perform services in a professional and workmanlike manner consistent with industry standards.

Disclaimers

Services are provided "as is" without warranty of any kind. We do not guarantee:

  • Uninterrupted or error-free operation
  • Specific business outcomes or results
  • Compatibility with all systems or platforms

Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited to the fees paid for the specific project
  • We are not liable for indirect, incidental, or consequential damages
  • We are not liable for data loss, business interruption, or lost profits

Client Responsibilities

Clients are responsible for:

  • Providing timely access to systems, data, and personnel
  • Reviewing and approving deliverables within agreed timeframes
  • Maintaining backups of their data and systems
  • Compliance with applicable laws and regulations
  • Providing accurate and complete information

Termination

Termination by Either Party

Either party may terminate a project agreement with written notice as specified in the agreement.

Effect of Termination

Upon termination:

  • Client pays for all work completed to date
  • Andria Labs delivers work completed up to termination date
  • Both parties return or destroy confidential information
  • Intellectual property provisions remain in effect

Independent Contractor

Andria Labs operates as an independent contractor. Nothing in these terms creates an employment, partnership, or joint venture relationship.

Indemnification

Client agrees to indemnify Andria Labs against claims arising from:

  • Client's use of deliverables
  • Client's breach of these terms
  • Client's violation of laws or third-party rights

Dispute Resolution

Disputes will be resolved through:

  1. Good faith negotiation between parties
  2. Mediation if negotiation fails
  3. Binding arbitration as a last resort

Governing Law

These terms are governed by the laws of the jurisdiction specified in individual project agreements, without regard to conflict of law provisions.

Modifications

We may update these Terms and Conditions from time to time. Continued use of our services after changes constitutes acceptance of the updated terms.

Severability

If any provision of these terms is found unenforceable, the remaining provisions remain in full effect.

Entire Agreement

These Terms and Conditions, together with project-specific agreements, constitute the entire agreement between parties.
